These Terms of Use (“Terms”) govern your access to and use of the Services and Content.

YOUR ACCESS TO AND USE OF THE SERVICES ARE CONDITIONED ON YOUR ACCEPTANCE OF AND COMPLIANCE WITH THESE TERMS, WHICH MAY BE UPDATED BY 7B FROM TIME TO TIME. Ending These Terms; Suspension or Termination

These Terms will continue to apply until terminated by you or 7B. You may end your legal agreement with 7B at any time by discontinuing your use of the Services and, where applicable, deactivating your account. 7B may suspend or terminate your account or cease providing all or part of the Services at any time for any reason, including if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us, or if providing the Services is no longer commercially viable. We will make reasonable efforts to notify you using the email address associated with your account or the next time you attempt to access your account, where appropriate.

If you create or use an account, patient portal, or other access credentials, you are responsible for maintaining the confidentiality of your username, password, passcodes, and account information. You agree to notify us promptly if you believe your account or credentials have been compromised or used without authorization.

Electronic Communications

By communicating with us electronically or using our online services, you consent to receive service-related communications electronically where permitted by law. Electronic communications may include email, portal notifications, telephone calls, SMS/text messages, one-time passcodes, billing notifications, prescription reminders, care management communications, and other healthcare-related or service-related messages.

SMS/Text Messaging Terms and Conditions

When you sign up for SMS/text messages from Seven Bridges Specialty LLC, you consent to receive SMS/text messages, including messages sent using automated technology, at the mobile number you provide. These messages may relate to your relationship with Seven Bridges Specialty LLC, including updates related to your care, your Seven Bridges Specialty LLC Patient Portal account, one-time passcodes, billing notifications, prescription reminders, care management communications, and other healthcare-related or service-related communications. Consent to receive SMS/text messages is not a condition of receiving services from Seven Bridges Specialty LLC.

You may opt out of SMS/text messages at any time by replying STOP. Your opt-out request may generate one final message confirming that you have been unsubscribed. After that, you will no longer receive SMS/text messages from the short code you opted out from. Message and data rates may apply for messages sent to you from us and to us from you. Message frequency may vary. SMS/text messages between you and Seven Bridges Specialty LLC will not be encrypted and may be unsecured. You are responsible for keeping your mobile device passcode protected and for promptly notifying Seven Bridges Specialty LLC if your mobile phone number changes or if you no longer have permission to use the subscribed mobile phone number.

Seven Bridges Specialty LLC uses automated technology to text your mobile phone number. By providing your mobile number and consenting to SMS/text communications, you agree and represent that you are the subscriber or customary user of that number and that you are authorized to consent to receive SMS/text messages at that mobile phone number.

Seven Bridges Specialty LLC and mobile carriers are not liable for losses or damages arising from delayed, misdirected, or undelivered messages. If you do not agree to these SMS/text messaging terms, follow the optout instructions above.

Privacy

Limitation of Liability

To the maximum extent permitted by applicable law, 7B and its parents, subsidiaries, affiliates, related companies, officers, directors, employees, agents, representatives, partners, licensors, service providers, and vendors (collectively, the “7B Entities”) will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, whether incurred directly or indirectly, resulting from your access to or use of, or inability to access or use, the Services; any conduct or content of any third party; any Content obtained from the Services; unauthorized access, use, or alteration of transmissions or information; electronic communications; SMS/text messaging; or delayed, misdirected, or undelivered messages. In no event will the aggregate liability of the 7B Entities exceed the lesser of one hundred U.S. dollars (U.S. $100.00) or the amount you paid 7B, if any, in the six months before the event giving rise to the claim.

The limitations above apply to any theory of liability, whether based on warranty, contract, statute, tort, negligence, or otherwise, whether or not the 7B Entities have been informed of the possibility of such damages, and even if any remedy stated in these Terms is found to have failed of its essential purpose. Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some provisions may not apply to you.

Indemnification

By using the Services, you agree to indemnify, defend, and hold harmless the 7B Entities from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising directly or indirectly from any third-party claim related to your use or misuse of the Services; your breach of these Terms; your violation of any law or the rights of another person or entity; or your submissions or communications through the Services. You agree to cooperate as reasonably required in the defense of any claim. 7B reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will remain responsible for indemnifying and holding harmless the 7B Entities.

General Terms

The failure of 7B to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms and any action related to them will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. All claims, legal proceedings, or litigation arising in connection with the Services will be brought solely in the federal or state courts located in Beaver County, Pennsylvania, and you consent to the jurisdiction and venue of those courts and waive any objection based on inconvenient forum.

These Terms, together with our Notice of Privacy Practices and Website Privacy Policy subsection, constitute the entire and exclusive agreement between you and 7B regarding the Services, except for any separate written agreement that expressly applies in addition to or instead of these Terms. These Terms supersede and replace any prior agreements between you and 7B regarding the Services.
